Terms and conditions

§ 1 Scope, provider

(1) These General Terms and Conditions (T&C) apply to all orders placed via the online shop at prior-design.de. The provider and contracting party is

M&D exclusive cardesign Vertriebs GmbH
Rubbertskath 13

Germany

E-mail: [email protected] · Phone: +49 2064 1414-848
Commercial register: Amtsgericht (Local Court) Duisburg, HRB 35691

(hereinafter “we” or “Seller”).

(2) PRIOR DESIGN® is a trademark of PRIOR Design GmbH. We distribute the products as general distributor in our own name and for our own account. We are the sole contracting party for all orders placed in this shop.

(3) Our offer is directed at consumers and business customers. A consumer is any natural person who enters into a legal transaction for purposes that predominantly fall outside their trade, business or self-employed profession (§ 13 German Civil Code (BGB)). A business customer (trader) is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their trade, business or self-employed profession (§ 14 BGB).

(4) We do not recognise any deviating terms and conditions of the customer unless we expressly agree to their validity in writing.

§ 2 Conclusion of contract

(1) The presentation of products in the shop does not constitute a legally binding offer but an invitation to place an order.

(2) You can add products to the cart and change or remove them there at any time. In the ordering process you enter your details, select the shipping and payment method, and can check and correct all information before submitting. By clicking the button “Buy now” you submit a binding offer to purchase the goods in the cart.

(3) Immediately afterwards you will receive an automatic e-mail confirming receipt of your order. This does not yet constitute acceptance. The contract is concluded when we accept your order by a separate order confirmation by e-mail or by dispatching the goods, at the latest within 5 days; for prepayment, this period only begins upon receipt of your payment (see § 4(3)).

(4) With the payment methods PayPal, credit/debit card, Apple Pay, Google Pay and Klarna, payment is already initiated or authorised with the respective payment service when the order is completed. In this case, too, the contract is only concluded in accordance with paragraph (3), i.e. by our separate order confirmation by e-mail or by dispatch of the goods. If we do not accept your order, we will refund any payments already made to you without undue delay via the payment method used.

(5) If the shipping costs cannot be calculated automatically (see § 3(2)), you complete the ordering process with the button “Request quote incl. shipping”. You thereby send us a non-binding enquiry; this does not yet conclude a contract and you incur no costs. We will then send you a quote by e-mail with the total price including shipping. The quote is valid for 14 days unless stated otherwise in it. The contract is concluded when you accept the quote via the link “Accept quote and pay” and complete the order with payment; in this case no separate order confirmation pursuant to paragraph (3) is required.

(6) For products marked “Price on request” and for individual kit enquiries, we prepare a personal quote. In this case the contract is concluded by your acceptance of our quote.

(7) The language of the contract is German. We store the text of the contract and send you the order data and these T&C in text form. You can access the T&C on this page at any time.

§ 3 Prices and shipping costs

(1) All prices are final prices in euros including statutory VAT. For deliveries to countries outside the European Union, we do not charge German VAT; in this case the price is shown without VAT in the ordering process, in the quote and on the invoice.

(2) Shipping costs are charged in addition. They depend on the country of delivery and the size of the consignment and are displayed in the cart or in the ordering process after the delivery address has been entered and before the order is completed. If they cannot be calculated automatically – for example because no confirmed freight forwarder price is yet available for your delivery address, the combination of parts ordered or the quantity ordered, for islands and special territories, or for countries without a stored price – you will first receive a quote with the total price including shipping (see § 2(5)). Collection in Dinslaken is possible free of charge by arrangement.

(3) For deliveries to countries outside the European Union, additional customs duties, taxes and fees may be incurred, which are to be borne by the customer.

§ 4 Payment

(1) The following payment methods are available: prepayment by bank transfer, PayPal (including “Pay Later” where PayPal offers this to you), credit and debit card, Apple Pay, Google Pay and Klarna. Which payment methods are available in each individual case is shown in the ordering process. Klarna is available up to an order value of €10,000.

(2) If the billing or delivery address is outside the European Union, only prepayment by bank transfer is possible. This also applies to payment of a quote pursuant to § 2(5).

(3) For prepayment, you will receive our bank details with the confirmation of receipt of your order. The invoice amount must be transferred within 7 days of your order, quoting the order number. After receipt of payment, we will send you the order confirmation pursuant to § 2(3). If payment is not received in time, you are no longer bound by your order and we will cancel it. Production or shipping begins after receipt of payment.

(4) For payments with PayPal or Klarna, the terms and conditions of the respective provider apply in addition.

§ 5 Delivery, delivery time

(1) We deliver to the countries specified in the ordering process.

(2) Our products are manufactured to order. Unless otherwise stated for the product, the production time is 4–6 weeks, plus the shipping time, which depends on the country of delivery (delivery by freight forwarder). For individual quotes, the production and delivery time is stated in the quote and in the order confirmation. For prepayment, the production time begins upon receipt of payment. Our quotes are valid for two weeks.

(3) Bulky parts (e.g. bumpers, bonnets, complete kits) are delivered by freight forwarder. The freight forwarder will agree the delivery date with you in advance; delivery is made to the kerbside or at ground level, unless otherwise agreed.

(4) Partial deliveries are permitted insofar as they are reasonable for you. You will not incur any additional shipping costs as a result.

(5) Collection from our business premises in Dinslaken is possible by arrangement.

(6) Please inspect the goods on delivery for externally visible transport damage and have any damage confirmed by the driver on the delivery note. This does not affect your statutory warranty rights; the notification helps us to enforce claims against the transport company.

§ 6 Product characteristics, fitting and road approval

(1) Our aerodynamic parts are delivered unpainted. Images generally show painted and fitted parts on example vehicles.

(2) Depending on the product, the parts are made of fibreglass, GRP (glass-fibre reinforced plastic) or carbon. They are delivered as raw parts and must be professionally prepared before painting: slight surface unevenness is usual with these materials, and sanding, filling, priming and a trial fitting for adjustment are generally required before painting. Please take this effort into account when planning painting and fitting.

(3) We recommend having painting and fitting carried out by a specialist workshop. With Widebody Kits it may be necessary to cut the wheel arches and wings; corresponding information is provided with the respective kit.

(4) Not all parts have a part certificate (Teilegutachten), a general operating permit (ABE) or the possibility of registration under the StVZO (German Road Traffic Licensing Regulations); this information is provided for each product. The vehicle keeper is responsible for the approval or registration on the vehicle and for operation on public roads. Products marked as “not within the scope of the StVZO” are not intended for use on public roads.

(5) Please check body and add-on parts for accuracy of fit and integrity before painting and before fitting. Defects that would have been recognisable during this check can often no longer be established beyond doubt after painting or fitting; your statutory rights remain unaffected.

(6) Information on fitment refers to the vehicles and versions specified for the product. Please check before ordering whether your vehicle corresponds to the specified version; we will be happy to advise you if you have any questions.

§ 7 Retention of title

(1) The goods remain our property until paid in full.

(2) In relation to business customers, we retain title until all claims arising from the ongoing business relationship have been settled in full. The business customer may resell the goods in the ordinary course of business; they hereby assign to us in advance all claims arising therefrom in the amount of the invoice amount.

§ 8 Statutory warranty (liability for defects)

(1) The statutory rights in respect of defects apply.

(2) In relation to business customers, the limitation period for claims for defects in new goods is one year from delivery. Business customers must inspect the goods without undue delay after receipt and give written notice of defects without undue delay (§ 377 HGB (German Commercial Code)).

(3) The shortening does not apply to claims for damages under § 9 or in cases of fraudulent intent, to claims under a guarantee, or to recourse claims under §§ 445a, 445b, 478 BGB.

§ 9 Liability

(1) We are liable without limitation in cases of intent and gross negligence, for injury to life, body or health, under the Product Liability Act (Produkthaftungsgesetz) and to the extent of any guarantee assumed.

(2) In the event of a slightly negligent breach of an essential contractual obligation (cardinal obligation), our liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded.

(3) We are not liable for damage caused by improper fitting, painting or modification of the parts by the customer or third parties.

§ 10 Right of withdrawal

Consumers have a statutory right of withdrawal. For details, please see our instructions on the right of withdrawal. You can also declare your withdrawal via the “Withdraw from contract” function, which is linked at the bottom of every page.

§ 11 Dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§ 12 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which the consumer has their habitual residence.

(2) If the customer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes is our registered office in Dinslaken.

(3) Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
